These Terms and Conditions ("Terms") govern access to and use of the ITOptik SaaS platform (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
ITOptik is a platform owned and operated by Y3K Software, LLC, an Ohio limited liability company ("Y3K Software"). All rights, title, and interest in and to the Platform are held by Y3K Software, LLC.
The Platform is a business-to-business IT due diligence aggregation, organization, and automated analysis tool.
The Platform functions solely as a document aggregation, organization, and automated reference tool.
ITOptik does not independently audit, verify, confirm, validate, or investigate any information uploaded to or processed by the Platform.
All output depends entirely on the accuracy and completeness of User Data. The Platform operates on a "garbage in, garbage out" principle.
No output constitutes legal, financial, cybersecurity, accounting, compliance, or professional advice.
ITOptik is not acting as a fiduciary, advisor, consultant, auditor, broker, investment advisor, or agent.
Use of the Platform does not create any fiduciary, advisory, partnership, or agency relationship.
You are solely responsible for validating all Platform output prior to reliance.
You agree to independently verify all findings and engage qualified professionals for material transaction decisions.
The Platform is provided "as is" and "as available."
ITOptik disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
ITOptik does not warrant that outputs are accurate, complete, or reliable.
To the maximum extent permitted by law:

Total liability shall not exceed fees paid in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless ITOptik from any claims arising from:
Access is provided on a subscription basis under an Order Form.
Fees are non-refundable unless stated otherwise.
These Terms are governed by the laws of the State of Ohio.
Exclusive venue shall be in Ohio courts.
Class action claims are waived.
